Corporate Governance Code
The Executive Board and Supervisory Board subscribe to the general principles and premises of the Dutch Corporate Governance Code, as established by the Corporate Governance Code Monitoring Committee. Although the corporate governance code is intended for listed Dutch companies, in 2004 the two boards decided to implement elements from the code that are also relevant to ECN. In 2006, a Regulation of the Executive Board and a Regulation of the Supervisory Board were drafted, each applying these relevant aspects to ECN.
Both regulations have been updated since their introduction. The latest versions of each were adopted by the Supervisory Board on 28 November 2014 and entered into effect on 17 February 2015. The most recent statues were updated and came into force on the same date.
ECN's Executive Board comprises five members and is responsible for the governance of the organisation, the general state of affairs and the companies connected to ECN.
The board consists of four statutory appointments: the Chief Executive Officer (CEO), the Vice-Chairman, the Chief Financial Officer (CFO) and the Chief Operating Officer (COO) for Sustainable Energy, in addition to a non-statutorily appointed Chief Operating Officer (COO) for Nuclear Energy. The CEO is the Chairman of the Executive Board. The statutorily appointed members are appointed, suspended and dismissed by the Supervisory Board.
The Supervisory Board consists of five members. They are responsible for the governance of the organisation, the general state of affairs and and the companies connected to ECN. The Supervisory Board also advises the Executive Board. The current members of the Supervisory Board are:
- Dr. H.P.M. Knapen (Chairman)
- Prof. dr. ir. drs. H. Bijl
- Dr. ir. B.C. Fortuyn
- Mr. L.L. Pool
- Prof. dr. ir. T.H.J.J. van der Hagen
The members of the Supervisory Board are appointed by the Minister of Economic Affairs, on the recommendations of the Supervisory Board. The Supervisory Board formulates these recommendations in consultation with the Executive Board and the Works Council. Members of the Supervisory Board are appointed for a term of four years and can be appointed for a maximum of two terms.
